WHOLESALE / PRIVATE LABEL TERMS & CONDITIONS

Solid Collection Luxury Cosmetics LLC

ALL WHOLESALE AND PRIVATE LABEL SALES ARE FINAL, SUBJECT TO APPLICABLE LAW. PLEASE READ THESE TERMS IN FULL BEFORE PLACING YOUR ORDER.

By purchasing wholesale, private label, custom-branded, or business startup products from Solid Collection Luxury Cosmetics LLC (“Solid Collection,” “we,” “us,” or “our”), you (“Client,” “Customer,” or “Buyer”) acknowledge that you have reviewed and agree to these Wholesale / Private Label Terms & Conditions.

These terms apply to all wholesale and private label purchases made through our website, invoices, payment links, or other authorized payment methods.

1. NATURE OF WHOLESALE & PRIVATE LABEL ORDERS

Wholesale and private label orders are business-to-business purchases that may include products manufactured, selected, packaged, printed, labeled, customized, or otherwise prepared specifically according to the Client’s order.

Depending on the products purchased, customization may include:

  • Client logos and business names
  • Custom logo printing
  • Product packaging
  • Lip gloss tubes or other cosmetic components
  • Lip liner pencils or components
  • Custom shade names
  • Product and shade selections
  • Packaging colors or styles
  • Product quantities
  • Product combinations
  • Other customization selected or submitted by the Client

Because these orders are prepared specifically for each Client, they cannot ordinarily be restocked or resold as standard inventory.

2. ALL WHOLESALE / PRIVATE LABEL SALES ARE FINAL

Except where otherwise required by applicable law, all wholesale and private label sales are final once an order has been placed and payment has been submitted.

We do not offer voluntary:

  • Refunds
  • Returns
  • Exchanges
  • Store credit
  • Order cancellations
  • Refunds because a Client changes their mind
  • Refunds because a Client changes their business plans
  • Refunds because a Client no longer needs the products
  • Refunds because a Client’s launch date changes
  • Refunds because a Client selected an incorrect product, shade, packaging option, quantity, logo, spelling, or customization
  • Refunds because an order is still within the disclosed production or processing period

Placing an order means you are committing to the products and custom production associated with that purchase.

Nothing in this policy limits any rights or remedies that cannot legally be waived under applicable law.

3. ORDER CANCELLATIONS

Please review your entire order carefully before submitting payment.

Wholesale/private label orders cannot ordinarily be canceled after purchase, including before shipment, because order preparation may begin before the Client receives a shipping notification.

Preparation may include administrative processing, inventory allocation, manufacturer coordination, artwork preparation, packaging preparation, printing preparation, mockup creation, material procurement, or other production-related work.

Failure to receive a tracking number immediately does not mean that work has not begun on an order.

Any cancellation or refund that Solid Collection is legally required to provide will be handled in accordance with applicable law.

4. CLIENT RESPONSIBILITY FOR ORDER DETAILS

The Client is responsible for submitting complete and accurate information for their order.

This includes, when applicable:

  • Correct logo files
  • Correct spelling
  • Business/brand name
  • Product selections
  • Tube selections
  • Packaging selections
  • Shade selections
  • Shade renames
  • Lip liner selections
  • Quantities
  • Color selections
  • Product combinations
  • Shipping address
  • Contact information
  • Any additional customization instructions

Solid Collection is not responsible for errors resulting from incorrect information submitted or approved by the Client.

Clients should carefully review all information before submitting an order and again during the mockup approval process when a mockup is provided.

5. LOGOS & ARTWORK

Clients are responsible for providing usable logo/artwork files when required.

By submitting a logo, trademark, business name, graphic, photograph, design, or other intellectual property to Solid Collection, the Client represents that they own the material or have permission to use and reproduce it.

The Client authorizes Solid Collection and its production partners to reproduce the submitted material solely as reasonably necessary to fulfill the Client’s order.

Solid Collection is not responsible for trademark, copyright, ownership, or other intellectual-property disputes arising from materials supplied by the Client.

6. MOCKUPS

When applicable, a digital mockup will be provided before production.

Mockups are primarily intended to demonstrate matters such as logo placement, text placement, packaging layout, and general design positioning.

Digital mockups are not necessarily exact representations of the final physical product.

Colors displayed on phones, tablets, computers, mockups, photographs, or other digital screens may vary from the appearance of physical products due to lighting, screen settings, printing methods, materials, manufacturing processes, and other factors.

7. MOCKUP APPROVAL

The Client is responsible for carefully reviewing their mockup before approving it.

Approval confirms that the Client accepts the elements represented for approval, including applicable:

  • Logo placement
  • Logo selection
  • Text
  • Spelling
  • Shade names
  • Product names
  • Packaging information
  • General layout

Once a mockup has been approved and production has begun, requested changes may not be possible.

If a change can still be accommodated, additional design, printing, production, material, or administrative charges may apply.

Solid Collection is not responsible for an error that appeared on a mockup and was approved by the Client.

8. PRODUCT & SHADE VARIATIONS

Cosmetic products and packaging may have reasonable variations between batches.

Actual colors may appear different depending on lighting, skin tone, application, photography, monitor/display settings, manufacturing batch, and other variables.

Product photographs, shade charts, digital graphics, and mockups are intended to assist with product selection but should not be interpreted as a guarantee that a physical product will appear identical under every condition.

Clients are responsible for reviewing available product and shade information before ordering.

Where sample products are available, Clients who need to evaluate a product before committing to a larger wholesale order are encouraged to purchase available samples first.

9. COMPONENT AVAILABILITY & DISCONTINUED ITEMS

Packaging components, tubes, boxes, colors, styles, materials, and other components may occasionally become unavailable, discontinued, delayed, or otherwise affected by circumstances involving manufacturers or suppliers.

If a material component becomes unavailable, Solid Collection may contact the Client regarding an appropriate replacement or alternative before proceeding when the change materially affects the Client’s selection.

We will not intentionally substitute a materially different custom selection without appropriate communication when Client approval is reasonably required.

10. PRODUCTION & PROCESSING TIMES

Wholesale/private label orders require production and processing time.

The production timeframe displayed on our website or otherwise communicated for the order is an estimated business-day timeframe, unless expressly stated otherwise.

Business days do not include weekends or recognized holidays.

When an order requires mockup approval, the applicable production period generally begins after final mockup approval, rather than on the original purchase date.

Production and processing time is separate from carrier transit time.

High order volume, inventory delays, manufacturing delays, printing delays, quality-control issues, weather, holidays, carrier disruptions, customs, or other circumstances may affect completion.

When applicable law requires notice, consent to a shipping delay, cancellation, or a refund because an order cannot be shipped within the promised or legally applicable timeframe, Solid Collection will comply with those requirements.

11. SHIPPING

Shipping time begins after production, processing, and quality control have been completed and the order has been transferred to the shipping carrier.

Estimated production time and estimated carrier transit time are separate.

Once tracking becomes available, it will be provided using the contact information associated with the order.

Clients are responsible for providing a complete and accurate shipping address.

Additional shipping charges resulting from an incorrect or incomplete address, rejected package, or requested reshipment may be the Client’s responsibility to the extent permitted by law.

Please review our separate Shipping & Processing Policy for additional information.

12. QUALITY CONTROL

Wholesale/private label orders may undergo quality-control review before shipment.

Because cosmetic products and packaging can involve manufacturing and printing processes, minor variations that do not materially affect the product’s intended function may occur.

A preference difference or reasonable manufacturing variation is not automatically considered a defect.

However, legitimate damaged, defective, missing, or incorrect merchandise should be reported according to our Claims Policy so that we can investigate.

13. DAMAGED, DEFECTIVE, MISSING OR INCORRECT PRODUCTS

If merchandise arrives damaged, defective, missing, or materially different from what was ordered, the Client must contact Solid Collection promptly using the contact information provided on our website.

The Client may be required to provide:

  • Order number
  • Description of the issue
  • Clear photographs
  • Video when reasonably necessary
  • Photographs of shipping packaging
  • Photographs of the affected products
  • Quantity affected
  • Shipping label information
  • Other reasonable documentation needed to investigate the claim

Do not discard damaged products or original packaging until the claim has been reviewed.

A valid claim will be handled according to the applicable Claims Policy and applicable law.

14. CLIENT LAUNCH DATES

Clients are responsible for planning their business launch dates appropriately.

We strongly recommend that Clients do not announce a guaranteed launch date based solely on an estimated production or shipping date.

Solid Collection is not responsible for lost sales, marketing expenses, missed launch dates, lost profits, advertising expenses, event costs, or other consequential business losses resulting from a production or carrier delay, to the extent permitted by applicable law.

15. PAYMENT DISPUTES & CHARGEBACKS

If there is a problem with an order, Clients are encouraged to contact Solid Collection first so that we have an opportunity to review and address the issue.

Submitting a payment dispute or chargeback does not automatically determine whether a refund is owed.

If a chargeback or payment dispute is filed, Solid Collection reserves the right to provide the payment processor, financial institution, or card issuer with documentation relevant to the transaction and dispute.

Such documentation may include, as applicable:

  • Order records
  • Invoice
  • Proof of payment
  • Checkout records
  • Applicable policies
  • Policy acceptance records
  • Product descriptions
  • Customization selections
  • Client-submitted instructions
  • Emails
  • Messages and correspondence
  • Mockups
  • Mockup approval
  • Production records
  • Quality-control documentation
  • Shipping records
  • Tracking information
  • Delivery confirmation
  • Signature confirmation
  • Other documentation relevant to the transaction

Nothing in these Terms eliminates or restricts any dispute rights provided to a cardholder by applicable law or the applicable payment network.

16. REFUSAL OF FUTURE SERVICE

To the extent permitted by law, Solid Collection reserves the right to decline future orders or terminate a future business relationship when appropriate, including in cases involving fraud, abusive conduct, misuse of payment disputes, intellectual-property concerns, repeated policy violations, or other legitimate business reasons.

Any existing paid order will remain subject to these Terms and applicable law.

17. POLICY ACKNOWLEDGMENT

By completing a wholesale/private label purchase, the Client acknowledges that they have had the opportunity to review the policies applicable to their purchase.

Where a required checkout acknowledgment is presented, checking the acknowledgment box and completing payment constitutes the Client’s electronic acknowledgment of the applicable terms.

The Client acknowledges that wholesale/private label products may be customized or prepared specifically for their business and that the order is subject to the disclosed production, cancellation, return, refund, customization, and shipping terms.

18. RELATED POLICIES

These Wholesale / Private Label Terms should be read together with our:

  • Refund & Cancellation Policy
  • Shipping & Processing Policy
  • Damage / Missing / Incorrect Order Claims Policy
  • Terms & Conditions
  • Privacy Policy

If a mandatory law conflicts with any provision of these policies, the mandatory legal requirement will control to the extent of that conflict.

BY PLACING A WHOLESALE OR PRIVATE LABEL ORDER WITH SOLID COLLECTION LUXURY COSMETICS LLC, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE WHOLESALE / PRIVATE LABEL TERMS & CONDITIONS.
